Terms & Conditions
INTERPRETATION
In these Terms and Conditions the following expressions will have the following meanings unless inconsistent with the context:
"Buyer" - the person(s),firm, company, public body or organisation whose order for the Service and/or Goods is accepted by Reynolds Music.
"Contract" - any contract between Reynolds Music and the Buyer for the supply of the Services or sale and purchase of the Goods formed in accordance with Condition 2
"Services" - any Services which Reynolds Music provides to the Buyer (including any of them or any part of them) under a Contract
"Goods" - any Goods which Reynolds Music supplies to the Buyer (including any of them or any part of them) under a Contract
"Terms and Conditions" - the standard terms and conditions of sale set out in this document together with any special terms agreed in writing between the Buyer and Reynolds Music and attached to these terms and conditions
CONTRACT
A Contract is formed when an order is accepted by Reynolds Music. No contract will come into existence until the acceptance, either orally or in writing, of an order by Reynolds Music. All orders must be on Reynolds Music's standard order form.
The Contract will be upon these Terms and Conditions, to the exclusion of all other terms and conditions and all previous oral or written representations including any terms or conditions which the Buyer purports to apply under any purchase order, confirmation of order or similar document, whether or not such document is referred to in the Contract.
Each order or acceptance of a quotation for Services or Goods will be deemed to be an offer by the Buyer to purchase Goods or Services upon these Terms and Conditions.
Any quotation is valid for a period of 30 days only from its date, provided Reynolds Music has not previously withdrawn it.

PAYMENT PERIOD
Full payment of due invoices to be paid within (30) days of the invoice date.
INTEREST ON LATE PAYMENT
Reynolds Music understands and will exercise it's statutory right to claim interest and compensation for debt recovery costs under the late payment legislation if Reynolds Music is not paid according to agreed terms.
NOTIFICATION OF QUERIES AND COMPLAINTS
Notification of queries and/or complaints must be notified to Reynolds Music verbally or in writing within seven (7) days of receipt of the goods (service) and/or invoice: whichever is the latter.
RETENTION OF TITLE
Title to any invoiced goods will only pass to the buyer/customer when full payment of the invoice is received by Reynolds Music.
FORCE MAJEURE
Reynolds Music will not be liable to the Buyer for any failure or delay or for the consequences of any failure or delay in performance of the Contract, if it is due to any event beyond the reasonable control and contemplation of Reynolds Music including, without limitation, acts of God, war, industrial disputes, protests, re, tempest, explosion, and act of terrorism and national emergencies and Reynolds Music will be entitled to a reasonable extension of time for performing such obligations.
LAW
The sale of goods and/or service between the buyer and Reynolds Music shall be governed by English law.
The construction, validity and performance of this Agreement shall be governed by English law.
In the event of a default of this agreement, these terms and conditions of sale shall be governed by English law.
